This website has been established to provide general information regarding the Transcept Pharmaceuticals, Inc. ("Transcept") Shareholder Litigation, pending in the Superior Court of California for Contra Costa County before the Honorable Barry P. Goode.

This lawsuit was filed in connection with the Merger of Transcept and Paratek and alleges that Defendants breached their fiduciary duties to Transcept shareholders by, among other things, failing to include certain information in a proxy statement they mailed to Transcept shareholders in connection with soliciting their vote on the Merger Agreement.

The Court did not decide in favor of Plaintiff or Defendants, all of whom have denied any and all liability for the claims asserted against them in this case. Instead, all of the parties have agreed to a settlement, thereby avoiding the cost and risk of continued litigation, including a trial and possible appeals. Plaintiff and its attorneys believe the Settlement is in the best interests of the Settlement Class Members.

Judge Goode has decided that everyone who fits this description is a Settlement Class Member: All persons or entities who owned Transcept’s common stock at any time during the period beginning on and including July 1, 2014, through and including October 30, 2014, including, to the extent acting as such, any and all of their respective successors in interest, predecessors, representatives, trustees, executors, administrators, officers, directors, employees, heirs, assigns or transferees, immediate and remote, and any person or entity acting for or on their behalf of, or claiming under any of them and each of them.

The law firms of Hulett Harper Stewart, LLP and The Brualdi Law Firm, P.C. represent Settlement Class Members. These lawyers are called Plaintiff’s Counsel.
